Besidy User Agreement
I. Preface
Besidy is a tool product (hereinafter referred to as "this Product") developed, operated, and managed by Xiamen Happy Xiaotian Intelligent Technology Co., Ltd. (hereinafter referred to as "we"). We fully respect and protect users' personal privacy. While providing you with quality services, we will collect, use, disclose, store, and protect personal data in accordance with this "User Agreement" (hereinafter referred to as "this Agreement") and the Besidy User Privacy Policy. To better provide you with products and services, please carefully read and fully understand this Agreement before starting to use this Product, especially clauses involving exemption or limitation of liability, rights licensing and information use, consent to enable and use special individual services, applicable law and dispute resolution, etc. Important content such as exemption or limitation of liability clauses will be highlighted in bold to draw your attention, and you should read them carefully.
This Agreement, regarding this Product and your use of this Product, constitutes a legally binding agreement between you and us. Unless you have read and accepted all terms of this Agreement, please do not use this Product. If you do not agree to this Agreement, we will not be able to provide you with normal services. Once you use this Product, it is deemed that you have read and agreed to accept the constraints of this Agreement and other agreements and rules related to this Agreement (including but not limited to the Besidy User Privacy Policy).
This Product is not intended for minors under 18 years of age (or the minimum age specified in the domestic law of EU member states). Claims by such persons to accept the terms of this Agreement are invalid. If you are a minor meeting the above conditions, you should read the terms of this Agreement and use this Product under the accompaniment of your guardian, and use this Product with the confirmation and consent of your guardian.
II. About Besidy
Goal: Dedicated to providing safety and security services for families and couples.
Main Features:
Real-time Location: Display the location of family members and friends in real-time
Change Alerts: When family members or friends arrive at or leave a specified location, the system automatically sends reminder notifications
History Trajectory: View historical locations of family members and friends within 180 days
III. User Information
3.1. We respect the legitimate rights of authorized users and respect their freedom of choice. We will not collect or use user information in ways that violate laws, administrative regulations, or this Agreement. We will only provide user information to third parties in a protected manner when authorized by users or under the exemption circumstances agreed in the Besidy User Privacy Policy. Besidy makes every effort to protect user privacy information. Together with this Agreement and the Besidy User Privacy Policy, we have provided clearer explanations regarding the acquisition, authorization, and use of Besidy user information. The Besidy User Privacy Policy is an inseparable part of this Agreement.
3.2. Special Note: Right to Delete User Information. Besidy registered users who find any impropriety or dissatisfaction during use have the right to actively delete relevant information through the account cancellation function in the software, or apply for deletion of relevant information to the Besidy customer service team via email xiaotianzhineng@163.com.
IV. Rules of Use
4.1. Users fully understand and agree: Users shall independently bear full legal responsibility for all actions of registering, logging in, and using this Product with their account, including all user information provided to us and all actions and events conducted with their Product account.
4.2. Users agree to strictly comply with the following rules when using this Product:
(1) Comply with Chinese laws, regulations, administrative rules, and normative documents;
(2) Comply with all documents related to this Product and services, including agreements, regulations, procedures, notices, codes of conduct, etc.;
(3) Do not use this Product for any illegal or criminal purposes;
(4) Do not use this Product and services in any form to infringe upon the legitimate rights of this Product and its operators;
(5) Do not use the services of this Product to engage in any behavior that may adversely affect the normal operation of the Internet;
(6) Do not use the services we provide to upload, display, or disseminate any false, harassing, defamatory, racially discriminatory, abusive, threatening, pornographic, or other information that violates national laws, regulations, and policies (see Section 4.10.b for details);
(7) Do not infringe upon the patent rights, copyrights, trademark rights, trade secrets, and other intellectual property rights, reputation rights, or other legitimate rights and interests of third parties enjoyed by others in accordance with the law;
(8) Ensure that the relevant information content displayed on this Product and services, including but not limited to the content in the previous "User Information" clause, does not violate relevant legal provisions and does not infringe upon the legitimate rights of third parties.
4.3. We have the right to review and supervise users' use of this Product and services (including but not limited to conducting necessary legality reviews of content uploaded, published, and disseminated by users, either by ourselves or by entrusting third parties). If users violate any of the above agreements when using this Product and services, we have the right to require users to correct or directly take all necessary measures unilaterally to eliminate or reduce any impact caused by users' improper behavior on us, third parties, Internet services, or public interests. We will not notify users in any way before, during, or after the aforementioned operations.
4.4. If any of the following circumstances occurs, the operator of this Product has the right to interrupt or terminate the provision of this Product and services under this Agreement (including paid and free services) to users at any time without assuming any responsibility to users or any third party. The losses caused thereby shall be borne independently by users:
4.4.1. The personal information provided by the user is untrue;
4.4.2. The user violates laws, regulations, national policies, or the rules of use stipulated in this Agreement;
4.4.3. The user fails to pay relevant service fees for the paid services used in accordance with regulations when using paid services;
4.4.4. The user infringes upon the legitimate rights and interests of individuals, enterprises, institutions, or social organizations, including but not limited to patent rights, copyrights, trademark rights, or rights to name, reputation, honor, portrait, privacy, etc.;
4.4.5. The user damages the image of regulatory departments, state organs, and the government;
The user damages the business reputation, credibility, and other legitimate rights and interests of the operator of this Product and its affiliated companies in any way;
4.4.6. The operator of this Product has other reasonable reasons to believe that it is necessary to interrupt or terminate the provision of this Product and services to users.
4.5. If a user has not actually used the services of this Product for any consecutive 180 days after applying to enable the services, the operator of this Product has the right to choose any of the following methods for processing within the scope permitted by laws and regulations:
4.5.1. Recover the user's nickname and/or account;
4.5.2. Stop providing this Product and services to the user.
4.6. If a user chooses to bind this Product account with a third-party account that cooperates with the operator of this Product, except when the user unbinds the relationship on their own, if any of the following circumstances occurs, the user's bound third-party account may also be unbound, and the operator of this Product shall not assume any responsibility to users or any third party:
4.6.1. The user violates laws, regulations, national policies, or this Agreement;
4.6.2. The user violates the third-party user agreement or its relevant provisions;
4.6.3. The platform to which the third-party account belongs requires unbinding;
4.6.4. The platform or business to which the third-party account belongs has been shut down;
4.6.5. Required by laws, regulations, national policies, or competent authorities;
4.6.6. The operator of this Product has reasonable reasons to believe that unbinding is necessary.
4.7. Users agree that the operator of this Product may place various commercial advertisements or any other types of commercial information in various ways during the provision of this Product services (including but not limited to placing advertisements on any page of this Product platform website), and users agree to accept the operator of this Product sending product promotions or other related commercial information to users through email, private messages, or other means.
4.8. Users agree that we have the right to change, suspend, or terminate part or all of Besidy services at any time. We do not need to notify users in advance, and we do not assume any responsibility to users or any third party for this reason.
4.10. Users promise:
They have obtained written authorization from the right holder (if any) of the content uploaded, published, transmitted, or disseminated through other means using the network services provided by this Product, and have reached an internal agreement with the aforementioned right holder regarding the distribution of rights and interests, ensuring that they have full, complete, flawless, and exclusive ownership and intellectual property rights before submitting and uploading relevant content to this Product service.
Content uploaded, published, transmitted, or disseminated through other means using the network services provided by this Product shall not contain any information that violates national laws, regulations, and policies, including but not limited to the following information:
Opposing the basic principles established by the Constitution;
Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
Damaging national honor and interests;
Incitement to ethnic hatred, ethnic discrimination, or undermining ethnic unity;
Undermining national religious policies, promoting cults and feudal superstitions;
Spreading rumors, disrupting social order, or undermining social stability;
Spreading obscenity, pornography, gambling, violence, murder, terror, or inciting crime;
Insulting or defaming others, infringing upon the legitimate rights and interests of others;
Containing other content prohibited by laws and administrative regulations.
Users shall not use the services of this Product to engage in the following activities:
Entering computer information networks or using computer information network resources without permission;
Deleting, modifying, or adding computer information network functions without permission;
Deleting, modifying, or adding data and applications stored, processed, or transmitted in computer information networks without permission;
Intentionally creating or spreading computer viruses and other destructive programs;
Other behaviors that endanger the security of computer information networks.
If we or other units cooperating with us face any complaints, reports, inquiries, claims, or lawsuits due to rights defects in the content uploaded, published, transmitted, or disseminated through other means using the network services provided by this Product, or infringement of the legitimate rights and interests of third parties (including but not limited to patent rights, trademark rights, copyrights and neighboring rights, portrait rights, privacy rights, reputation rights, etc.); or if we or other units cooperating with us suffer any damage to reputation, reputation, or property as a result, users shall actively take all possible measures to ensure that we and other units cooperating with us are free from the impact of the above claims and lawsuits. At the same time, users shall bear full liability for compensation for direct and indirect economic losses suffered by us and other units cooperating with us as a result.
4.11. In addition, you acknowledge and agree that: within the scope permitted by current laws and regulations, the operator of this Product may use your non-sensitive personal information for marketing purposes, including but not limited to: the operator of this Product will use the information you provide to display or provide advertisements and promotional materials to you in this Product and platform, notify or recommend this Product's services or product information to you, and other information that we believe you may be interested in based on your use of this Product. This also includes information you choose to share when taking certain actions such as authorization, for example, when you add friends, add landmarks in dynamics, use this Product's contact import tool, etc.
V. Ownership
5.1. "Intellectual Property" refers to all types of past, current, or future intellectual property related to Besidy services, including but not limited to invention patents, trademarks, copyrights, utility models, design patents, layout designs, trade secrets, other intellectual property rights, and related application rights.
5.2. We retain complete and indivisible ownership and intellectual property rights to the following content and information:
Except for content uploaded and disseminated by users themselves, this Product and all its elements, including but not limited to all content, data, technology, software, code, user interfaces, and any derivative works related thereto;
User information;
Any information and feedback related to the service provided by users through this Product.
Without our consent, the above materials shall not be directly or indirectly published, broadcast, rewritten or redistributed for the purpose of broadcasting or publishing, or used for any other commercial purpose in any media. The above materials or any part thereof may only be saved on a computer for private use. This Product shall not be liable in any form, legally or economically, to users or any third party for delays, inaccuracies, errors, omissions, or any damages arising from the above materials or in the process of transmitting or delivering all or part of the above materials;
All rights to any software used by this Product to provide network services (including but not limited to any images, photos, animations, videos, audio recordings, music, text, and additional programs, accompanying help materials contained in the software) belong to the copyright owner of the software. Without the permission of the copyright owner of the software, users shall not reverse engineer, decompile, or disassemble the software, or discover its original code in other ways, or implement any behavior suspected of infringing copyright.
5.3. For any text, pictures, graphics, audio, and/or video created and uploaded by users to this Product and website or platform, we reserve the right to monitor the content in real-time and have the right to delete any content that violates this Agreement or is suspected of being illegal or non-compliant based on our independent judgment. We are not responsible for any consequences or losses caused to users by deleting user works.
5.4. This clause will remain valid unless we give written consent, and will not become invalid due to users closing this Product service account or ceasing to use this Product.
VI. Intellectual Property Protection
If the content uploaded by users allows other users to download, view, listen to, or access or distribute in other ways, users must ensure that the publication of such content and the implementation of related behaviors comply with relevant copyright policies in relevant intellectual property laws and regulations, including but not limited to:
When users receive an infringement notice, they should immediately delete or prohibit access to the declared infringing content, and contact the person who delivered the notice to learn more details.
Users acknowledge and agree that we will process qualified infringement notices issued by third parties in accordance with relevant laws and regulations, delete or prohibit access to the declared infringing content as required, adopt and implement appropriate policies, impose restrictions or prohibit the use of some functions, or even ban the account's network disk function, in order to prevent repeated infringement under corresponding conditions.
VII. Other Disclaimers
7.1. Information is provided as-is. All service information we provide is provided only as-is at the time of provision and is for users' reference only. We do not make any promises or guarantees regarding the accuracy, completeness, applicability, etc. of the aforementioned information. Users should judge the information we provide on their own and bear all risks arising from the use of the aforementioned information, including risks caused by any reliance on or trust in the correctness, completeness, or practicality of the information. We are not responsible for any losses caused by any behavior of users using the information.
7.2. For any losses caused to users or any third party due to force majeure or reasons we cannot predict or control (including but not limited to computer viruses or hacker attacks, system instability, improper use of accounts by users, and any other technical, Internet, or communication line reasons), including but not limited to the security of user computer information and data, the security of user personal information, etc., we do not assume any responsibility.
7.3. Due to users' use of Besidy services in any way that is illegal, non-compliant, or violates this Agreement, including but not limited to illegal, untrue, or improper website content, infringement of any legitimate rights and interests of third parties, etc., causing any losses to us or other third parties, users agree to bear full liability for compensation for the losses caused thereby.
7.4. We and our partners do not make any form of promises or guarantees, whether express or implied, regarding any and all content of Besidy services. The aforementioned promises or guarantees include but are not limited to: the authenticity of Besidy services, merchantability, suitability for a particular purpose, any form of ownership guarantee, non-infringement guarantee, etc. We are not responsible for any direct, indirect, incidental, special, or consequential damages caused by the aforementioned content for which no promises or guarantees are made.
VIII. Applicable Law and Dispute Resolution
8.1. The formation, effectiveness, performance, interpretation, and any disputes arising from this Agreement shall be governed by the laws of the People's Republic of China (excluding the laws of Hong Kong, Macau, and Taiwan regions).
8.2. Any dispute between users and us related to this Agreement shall first be resolved through friendly consultation. If no agreement can be reached through consultation within thirty days from the date of the dispute, users hereby agree to submit the aforementioned dispute to the people's court where Xiamen Happy Xiaotian Intelligent Technology Co., Ltd. is located for litigation.
IX. Terms for Minors
9.1. If a user is under 18 years of age, they are a minor and should read this Agreement and use this service under the supervision and guidance of a guardian.
9.2. Minor users are inexperienced in the world, easily confused by virtual images on the Internet, have strong curiosity, lack the ability to adapt to situations, and are easily exploited by people with ulterior motives while lacking self-protection abilities. Therefore, minor users should pay attention to the following matters when using this service, improve safety awareness, and strengthen self-protection.
9.3. Recognize the difference between the online world and the real world, avoid addiction to the Internet, and avoid affecting daily study and life.
9.4. When filling in personal information, strengthen personal protection awareness to prevent bad elements from harassing personal life.
9.5. Learn to use the Internet correctly under the guidance of guardians or teachers.
9.6. Avoid meeting strangers online casually or participating in social activities to prevent criminals from taking advantage and endangering personal safety.
9.7. Guardians and schools should provide more guidance to minors using this service. In particular, parents should care about their children's growth, pay attention to communication with their children, and guide their children on safety issues when using the Internet to prevent problems before they occur.
9.8. Adults who have reached 18 years of age but do not have full civil capacity for any reason shall refer to the relevant provisions of the terms for minors in this Agreement.
X. Other Provisions
10.1. The operator of Besidy has the right to modify any terms of this Agreement at any time. Once the content of this Agreement changes, the operator of Besidy will publish the modified agreement content on the Besidy platform. The operator of Besidy may also choose to notify users of the modified content through other appropriate means (such as system notifications).
10.2. If users do not agree to the modifications made by the operator of Besidy to the relevant terms of this Agreement, users have the right to stop using Besidy services. If users continue to use Besidy services, it is deemed that users accept the modifications made by the operator of Besidy to the relevant terms of this Agreement.
10.3. If any terms in this Agreement are completely or partially invalid or unenforceable for any reason, it does not affect the validity of other terms in this Agreement.
